Note for counsel (remove before publishing): Please confirm the following before this page goes live.
- Authority to transact business in Florida. The foreign-qualification rules of the Florida Business Corporation Act and the Florida Revised Limited Liability Company Act address foreign corporations and LLCs; the operator is an individual. Does selling data exports online to Florida customers from abroad, with no physical presence, require any Florida registration or license?
- Fictitious name. Fla. Stat. § 865.09 defines a fictitious name as "any name under which a person transacts business in this state, other than the person's legal name" and requires registration with the Division of Corporations before engaging in business under it; non-compliance bars the business from maintaining an action in Florida courts until it complies (§ 865.09(9)). Does "flcontacts.com" trigger this requirement for a non-U.S. sole proprietor, and is the word "Florida" in the name acceptable (risk of implying a state affiliation, FTC Act § 5 / FDUTPA)?
- Sales tax nexus. Fla. Stat. § 212.0596 treats a person as a dealer when taxable remote sales exceeded $100,000 in the previous calendar year, and defines a remote sale as a retail sale of tangible personal property. Are electronically delivered data files (CSV/XLSX/JSON) taxable in Florida at all, and does the answer differ for customers in other states?
- Federal tax. Whether the operator needs an EIN, and which form U.S. customers will request (e.g. Form W-8BEN) – accountant.
- Agent for service of process. Whether appointing a U.S. agent is advisable, in particular if Florida law or a Florida venue is chosen in the Terms of Sale.
Business customers only
flcontacts.com offers its data exports to businesses and other organizations only, not to consumers buying for personal, family or household purposes (see the Terms of Sale).
